1. Agreement to Terms

These Terms of Use constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Tapnetic LLC ("Company", "we", "us", or "our"), concerning your access to and use of the Hando mobile application and the website at hando-app.com, as well as any related services (collectively, the "Services").

By accessing or using the Services, you agree that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree with these Terms, you must discontinue use of the Services immediately.

We reserve the right to modify these Terms at any time. We will indicate changes by updating the "Last updated" date above. Your continued use of the Services after any such changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. Eligibility

The Services are intended for users who are at least 18 years old. By using the Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. Persons under the age of 18 are not permitted to create an account or use the Services.

3. Account Registration

To use certain features of the App, you must register for an account. You may register using your email address or through Google Sign-In. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain and promptly update your account information.
• Keep your password and account credentials confidential.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate your account if any information provided is inaccurate, incomplete, or if you violate these Terms.

4. The Services

Hando is a co-parenting and family organization app that allows users to:

• Create shared family workspaces with roles (owner, co-parent, caregiver, viewer).
• Manage shared calendars with recurring events and Google Calendar sync.
• Create and assign tasks within the family workspace.
• Track shared expenses, attach receipt photos, and manage settlements.
• Store child profiles (names and dates of birth) for family scheduling.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice.

5. Fees and Subscriptions

Some features of Hando require a paid subscription. Subscriptions are managed through the Apple App Store (for iOS) or Google Play (for Android).

• Free trial: New users may be eligible for a free trial period. At the end of the trial, your chosen subscription plan will be charged automatically unless you cancel before the trial expires.
• Billing: Subscription fees are billed on a recurring basis (monthly or annually, depending on your selected plan) through your App Store or Google Play account.
• Cancellation: You may cancel your subscription at any time through your App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
• Price changes: We reserve the right to change subscription prices. Any price changes will take effect at the start of your next billing cycle after notice is provided.

All purchases are subject to the terms and refund policies of the Apple App Store or Google Play, as applicable.

6. User Content and Data

You retain ownership of all content you create or upload through the Services, including calendar events, tasks, expense records, photos, and child profile information ("User Content"). By using the Services, you grant us a limited license to store, process, and display your User Content solely for the purpose of providing the Services to you and your workspace members.

You are responsible for ensuring that your User Content does not violate any applicable law or the rights of any third party. You represent that you have the necessary rights and consents to share any User Content, including information about other individuals (such as co-parents or children).

7. Shared Workspaces

Hando allows you to create shared workspaces and invite other users. When you share data within a workspace:

• All workspace members with appropriate roles can view, edit, or delete shared content (events, tasks, expenses) depending on their permissions.
• You are responsible for the accuracy and appropriateness of content you share within a workspace.
• We are not responsible for how other workspace members use or share information made available to them through the workspace.

8. Intellectual Property

The Services, including all software, designs, text, graphics, logos, and other content (excluding User Content), are the property of Tapnetic LLC and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes in accordance with these Terms.

You may not:

• Copy, modify, or distribute any part of the Services.
• Reverse engineer, decompile, or disassemble the App.
• Remove or alter any proprietary notices or labels.
• Use the Services for any commercial purpose not expressly authorized by us.

9. Prohibited Activities

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law.
• Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems.
• Interfere with or disrupt the integrity or performance of the Services.
• Use automated scripts, bots, or other means to access the Services.
• Transmit any viruses, malware, or other harmful code.
• Harass, abuse, or threaten other users.
• Impersonate any person or entity, or misrepresent your affiliation.
• Use the Services to advertise or sell goods or services without our authorization.
• Collect or harvest personal information of other users.

10. Mobile Application License

10.1 Use License

We grant you a revocable, non-exclusive, non-transferable, limited right to install and use the Hando mobile application on devices owned or controlled by you, strictly in accordance with these Terms.

10.2 Apple App Store and Google Play

If you obtained the App from the Apple App Store or Google Play (each an "App Distributor"), the following applies:

• The license granted to you is limited to a non-transferable license to use the App on a device utilizing the Apple iOS or Android operating system, in accordance with the applicable App Distributor's terms of service.
• We are responsible for providing maintenance and support for the App as specified in these Terms or as required by applicable law. Each App Distributor has no obligation to provide maintenance or support for the App.
• In the event of any failure of the App to conform to any applicable warranty, the App Distributor may, in accordance with its policies, refund the purchase price (if any). To the maximum extent permitted by law, the App Distributor has no other warranty obligation with respect to the App.
• You represent and warrant that: (i) you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country; and (ii) you are not listed on any U.S. government list of prohibited or restricted parties.
• You acknowledge and agree that the App Distributors are third-party beneficiaries of these Terms and may enforce them against you.

11. Third-Party Services

The Services may integrate with or contain links to third-party services (such as Google Calendar, Google Sign-In, or payment processors). We do not control and are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those third parties.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TAPNETIC LLC AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to defend, indemnify, and hold harmless Tapnetic LLC and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your User Content.

15. Privacy Policy

We care about your data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Terms by reference.

16. Termination

We may terminate or suspend your account and access to the Services at our sole discretion, without prior notice, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Services ceases immediately.
• We may delete your account and associated data, subject to our data retention policies and legal obligations.
• Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) shall survive.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Armenia. You irrevocably consent to the exclusive jurisdiction of the courts of Armenia for the resolution of any disputes arising from these Terms or the Services.

18. Dispute Resolution

You agree to irrevocably submit all disputes related to these Terms or the Services to the jurisdiction of the courts of Armenia. We also retain the right to bring proceedings in the courts of the country where you reside or, if applicable, the state of your principal place of business.

19. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements, representations, and understandings.
